Terms of Service

GENERAL TERMS OF SERVICE FOR ALL AGRIASSIST MEMBERS

Please read these Terms of Service for AgriAssist Users (“Terms”) carefully as they contain important information about your legal rights, remedies and obligations. By accessing or using the AgriAssist Marketplace Platform (“Marketplace”), you agree to comply with and be bound by these Terms.

These Terms constitute a legally binding agreement ("Agreement") between you and AgriAssist governing your access to and use of the Marketplace, including any subdomains thereof, and any other websites through which AgriAssist makes its services available and all associated services.

Our collection and use of personal information in connection with your access to and use of the Marketplace is described in our Privacy Policy. Any and all payment processing services through or in connection with your use of the Marketplace ("Payment Services") are provided to you by Stripe Payments. Members are responsible for identifying, understanding, and complying with all laws, rules and regulations that apply to their Listings and Services.

1.      SCOPE OF AGRIASSIST SERVICES

[1.1] Assistant Hub Ltd trading as AgriAssist is an online Marketplace service that allows its users to exchange services with each other. Service Buyer (“Buyer”) means any person or entity requesting services through the Marketplace (referred to in practice as a “Farmer”). Service Provider means any independent contractor offering services through the Marketplace (referred to in practice as a “Farm Worker”). AgriAssist is a communications and Marketplace platform that connects buyers with sellers of Professional Farm Services. Service Providers operate on a contract-for-services basis, supplying relief and ancillary support rather than forming part of the ongoing workforce of either AgriAssist or any Buyer. The AgriAssist service may only be used in accordance with these Terms of Service. The Marketplace Provider reserves the right to alter or amend these Terms of Service at its discretion.

[1.2] As the Marketplace provider, AgriAssist does not own, create, sell, resell, provide, control, manage, offer, deliver, or supply any service listings or offers of work. When Members make or accept a booking, they are entering into a contract directly with each other. AgriAssist is not and does not become a party to or other participant in any contractual relationship between Members, nor is AgriAssist an insurer. AgriAssist is not acting as an agent in any capacity for any Member, except as specified in the Payments Terms.

For the avoidance of doubt, AgriAssist acts solely as a technology platform facilitating introductions and payment processing between Buyers and Service Providers. AgriAssist does not and shall not supervise, direct, or control the manner or means by which Service Providers perform their services, and Service Providers shall not represent otherwise.

[1.3] AgriAssist has no control over and does not guarantee:

(i) the existence, quality of service, suitability, or legality of any Member’s Listings or Services;

(ii) the truth or accuracy of any Listing descriptions, Reviews, or other Member Content;

(iii) the performance or conduct of any Member or third party. AgriAssist does not endorse any Member, Listing or Services. Any references to a Member being "verified" (or similar language) only indicate that the Member has completed a relevant verification or identification process and nothing else. Any such description is not an endorsement, certification or guarantee by AgriAssist about any Member, including of the Member's identity or background or whether the Member is trustworthy, safe or suitable. You should always exercise due diligence and care when deciding whether to offer or accept a booking request from a Member, or communicate and interact with other Members, whether online or in person.

[1.4] If you choose to use AgriAssist to offer your services, your relationship with AgriAssist is limited to being an independent, third-party contractor, and not an employee, agent, joint venturer or partner of AgriAssist for any reason, and you act exclusively on your own behalf and for your own benefit, and not on behalf, or for the benefit of AgriAssist. Nothing in this Agreement shall be construed as creating an employer-employee relationship. The Member shall be solely responsible for all tax filings, social insurance contributions, and any employment-related statutory obligations. Members acknowledge they are engaged on a contract-for-services basis only, and neither AgriAssist nor the Service Buyer has any responsibility or obligation for any pension, holiday pay, sick leave, redundancy pay, minimum wage guarantees, or any other benefits associated with employment.

 [1.5] AgriAssist does not, and shall not be deemed to, direct or control you generally or in your performance under these Terms, specifically AgriAssist shall not be deemed to be an employer with regard to the provision of Member services. You acknowledge that you have complete control over the degree of reliance you place on the platform in achieving work efficiencies and/or profit.

[1.6] AgriAssist is not responsible for outages or disruptions of the Internet and telecommunications infrastructure which are beyond our control and can lead to interruptions in the availability of the Marketplace. AgriAssist may, temporarily and under consideration of the Members’ legitimate interests (e.g., by providing prior notice), restrict the availability of the AgriAssist Marketplace or certain areas or features thereof, if this is necessary in view of capacity limits, the security or integrity of our servers, or to carry out maintenance measures that ensure the proper or improved functioning of the AgriAssist Marketplace. AgriAssist accepts no liability in such circumstances. AgriAssist may improve, enhance and modify the Marketplace and introduce new AgriAssist Services from time to time. AgriAssist will provide notice to Members of any changes to the Marketplace, unless such changes are of minor nature without having a material effect on the parties’ contractual obligations.

[1.7] AgriAssist may communicate with Members through broadcast or targeted messages delivered by email, WhatsApp, and other communication channels to provide updates, alerts, or information about new Listings and related opportunities. In addition, AgriAssist may conduct outreach to potential Service Buyers through social media and other digital channels to promote the Marketplace.

 2.      USING THE AGRIASSIST PLATFORM – REGISTRATION, ELIGIBILITY, MEMBER VERIFICATION AND FEES

[2.1] In order to access and use the AgriAssist Platform or register an AgriAssist Account you must be an individual aged at least 16 years old. All Members, both Buyers and Service Providers should make themselves aware of the legislation surrounding the working hours and conditions applicable to young people (i.e. under 18 years of age) and AgriAssist takes no responsibility for monitoring the hours of work of such young persons. A useful starting point for such information can be found here:

https://www.citizensinformation.ie/en/employment/

[2.2] User verification on the Internet is difficult and we do not assume any responsibility for the confirmation of any Member’s identity. Notwithstanding the above, for transparency and fraud prevention purposes, certain verifications may be carried out by our Payment Services provider (Stripe) as required by law. To support this process, AgriAssist may, on occasion, request identification or other information from Service Providers solely for the purpose of satisfying Stripe’s verification requirements.

[2.3] You must register an account ("AgriAssist Account") to access and use certain features of the AgriAssist Platform, such as publishing or booking a Listing. If you are registering an AgriAssist Account for a business, organisation or other legal entity, you represent and warrant that you have the authority to legally bind that entity and grant us all permissions and licenses provided in these Terms. You can register an AgriAssist Account using an email address and creating a password, or through your account with Facebook.

[2.4] You must provide accurate, current and complete information during the registration process and keep your AgriAssist account information up-to-date at all times. You may not register more than one (1) AgriAssist account unless AgriAssist authorises you to do so. You may not assign or otherwise transfer your Account to another party.

[2.5] You are responsible for maintaining the confidentiality and security of your AgriAssist Account credentials and may not disclose your credentials to any third party. You must immediately notify AgriAssist if you know or have any reason to suspect that your credentials have been lost, stolen, misappropriated, or otherwise compromised or in case of any actual or suspected unauthorised use of your AgriAssist Account. You are liable for any and all activities conducted through your AgriAssist Account, unless such activities are not authorised by you and you are not otherwise negligent (such as failing to report the unauthorised use or loss of your credentials).

[2.6] Users retain the rights to all text, pictures and other content that they create in the service. Users grant AgriAssist a limited licence to use, store, and display such content for the purposes of operating the platform and making it available to other Members.

[2.7] Insofar as Member Content (including Verified Images) includes personal information, such Member Content will only be used for these purposes if such use complies with applicable data protection laws in accordance with our Privacy Policy. Unless you provide specific consent, AgriAssist does not claim any ownership rights in any Member Content and nothing in these Terms will be deemed to restrict any rights that you may have to use or exploit your Member Content.

You will not post, upload, publish, submit or transmit any Member Content that:

(i) is fraudulent, false, misleading (directly or by omission or failure to update information) or deceptive;

(ii) is defamatory, libellous, obscene, pornographic, vulgar or offensive;

(iii) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group;

(iv) is violent or threatening or promotes violence or actions that are threatening to any other person or animal;

 (v) promotes illegal or harmful activities or substances.

[2.8] AgriAssist may remove or disable access, without compensation, to any Member Content that is in violation of applicable law, these Terms or otherwise may be harmful or objectionable. AgriAssist will notify a Member and provide the reasons for such a measure, unless such notification would:

(i) prevent or impede the detection or prevention of fraud or other illegal activities;

(ii) harm the legitimate interests of other Members or third parties;

(iii) contravene applicable laws;

Any suspension, restriction or termination of a Member’s account shall be subject to human oversight and decision-making, and Members shall have the right to request an explanation and to contest such a decision. AgriAssist will not rely solely on automated monitoring or decision-making systems for decisions of material detriment. You may appeal such a decision by contacting AgriAssist via email: info@agriassist.ie

You acknowledge and agree that use of the AgriAssist platform does not create an employment relationship between the Buyer and Service Provider of the services. The Service Provider is solely responsible for determining their availability, setting their price, providing self-protective clothing, certificates/professional qualifications, any trading requirements, transport, and whether to accept or reject any engagement. The Service Provider shall bear all risks associated with the services provided.

[2.9] Stripe Payment Services will conduct its own verification process on the Service Provider. If a Service Provider fails this verification, their AgriAssist Marketplace Listing becomes suspended and cannot be booked until the issue is resolved. AgriAssist may alert the Marketplace member of the failed verification to allow them to take corrective action.

3.    FEES, PAYMENTS, CANCELLATIONS & RIGHT TO SUBSTITUTES

[3.1] AgriAssist charges the Buyer a service fee of 8% on the total cost of the booked service in consideration for the use of the AgriAssist Platform. AgriAssist deducts a service fee of 5% on the total cost of the booked service from the Service Provider in consideration for the use of the AgriAssist Marketplace. The fees are automatically applied to the listing price by the AgriAssist platform. The AgriAssist service fee (not the underlying service price) is inclusive of VAT at 23%.

AgriAssist reserves the right to change the Service Fees at any time and will provide Members adequate notice of any fee changes before they become effective. Such fee changes will not affect any bookings made prior to the effective date of the fee change.

[3.2] Once a Service Provider accepts an offer of Work, the Buyer will commit to pay the total fees as per the booking request.  The AgriAssist payment processor (Stripe) will put a Hold on these funds, so that the Service Provider has the assurance that payment is secured in escrow prior to commencing work. Pre-booking prior to commencement of work is the standard process on the platform, as it ensures funds are secured in escrow in advance and provides certainty for both parties. Upon system confirmation from the Buyer that the agreed work has been completed the payment will be released to the Service Provider. If no action is taken by the Buyer the system will auto-release the funds to the Service Provider after 14 days. Each booking is treated as a discrete transaction and payment is made on a per-engagement basis. No aggregated or recurring salary-style payments are made. For clarity, AgriAssist plays no role in determining whether work has been completed, and its payment system operates on automated triggers only. Any disputes as to completion, quality, or hours worked are strictly matters between Buyer and Service Provider.

If a Service Provider does not accept a Buyer’s booking request within seventy-two (72) hours, the request will automatically expire and be deemed cancelled. In such cases, no charge will be made to the Buyer’s payment method.

AgriAssist’s role in handling payments is limited to facilitating payment processing on behalf of Buyers and Service Providers. AgriAssist is not the payer or employer of Service Providers and shall have no responsibility for wages, tax withholdings, or employment-related payments.

[3.3] Service Buyers or Service Providers may cancel a confirmed booking at any time. Refunds will be processed in accordance with the Service Provider’s cancellation policy in place at the time of booking. The Service Provider’s cancellation policy must be explicitly displayed and communicated to the other party prior to confirmation of the booking. If no such policy is provided, AgriAssist’s default cancellation policy will apply, which provides a full refund to the Buyer.

[3.4] The Service Provider at their discretion and own cost may appoint a suitably qualified substitute to perform the Services accepted through the AgriAssist platform. There is no requirement to choose from any pre-approved pool of substitutes. Payment for the engagement will continue to flow to the original Service Provider, who will remain contractually responsible for the engagement and for paying any substitute they appoint. The Buyer retains the right to object to a proposed substitute only on reasonable grounds, including but not limited to lack of appropriate qualifications, or legitimate concerns regarding safety or quality of service.

4.      MEMBER REVIEWS

[4.1] Post the booking process, Service Buyers or Service Providers can leave a public review (“Review”) about each other. Reviews reflect the opinions of individual Members and do not reflect the opinion of AgriAssist:

(i) Reviews are not verified by AgriAssist for accuracy and may be incorrect or misleading;

(ii) Members should ensure that Reviews are accurate and do not contain any offensive or defamatory language. Please also see the Account Registration in section 2;

(iii) Members are prohibited from manipulating the Reviews system in any manner, such as instructing a third party to write a positive or negative Review about another Member. Such action may lead to a temporary or permanent suspension of the Member’s account.

Reviews are provided for transparency purposes only and shall not be construed as supervision, direction, or performance management by AgriAssist.

Reviews are part of a Member’s public profile and may also be surfaced elsewhere on the AgriAssist Platform (such as the Listing page). Every Member shall have an express right of reply to any Review concerning them, and any such reply shall be displayed in conjunction with the Review.

[4.2] If a Member feels their rating has been negatively affected due to circumstances outside their control, they may submit a request for review. AgriAssist will consider any reasonable representations made and may, at its discretion, remove that rating where it is satisfied that the outcome does not fairly reflect performance.

  5.      INSURANCE RESPONSIBILITIES

[5.1] Members are advised that AgriAssist does not provide insurance for any loss, damage to person or property, inconvenience or expense howsoever arising, as a result of the contract between the Service Buyer and Service Provider.

Buyers must ensure they maintain an appropriate insurance policy that covers contractors and visiting workers on their property, ensuring that the correct declarations are in place on their policy. Buyers should be prepared to provide evidence of such cover to the Service Provider if requested.

Service Providers, as independent contractors, are strongly recommended to maintain their own insurance to protect against potential claims, losses, or expenses that may arise.

All Members agree to indemnify and hold AgriAssist harmless for any claim, loss, or liability arising from their own acts or omissions.

[5.2] AgriAssist recommends that Members review any respective insurance policy carefully, and in particular make sure that they are familiar with and understand any exclusions to, and any deductibles that may apply for, such insurance policy, including, but not limited to, whether or not the insurance policy will cover the actions or inactions of the relevant Members and/or their agents

6.      DISPUTES BETWEEN MEMBERS

[6.1] Members are reminded that they are responsible for their own acts and omissions.

[6.2] AgriAssist will not offer assistance in mediating any dispute including but not limited to completion of the work, the number of hours worked or the quality of work by the Service Provider. Members are encouraged to resolve disputes amicably and should retain records of communications and agreements. The parties are free to resolve the dispute through alternative means including legal action. The Platform acts only as a facilitator and does not mediate disputes.

AgriAssist accepts no responsibility for any claims arising out of the contract between the Buyer and Service Provider whether under contract law, common law, statute or otherwise.

Members are advised to make themselves aware of their legal rights and responsibilities to each other.

[6.3] Members agree to indemnify AgriAssist from and against all liability whatsoever in respect of all actions, inactions or omissions, costs, proceedings, claims, damages, demands, losses and expenses in respect of or on account of any claims arising out of the contract between the Service Provider and Service Buyer.

7.       TERMS SPECIFIC FOR SERVICE PROVIDERS / FARM WORKERS

[7.1] Service Providers, when creating a Listing(s) through the AgriAssist Platform must:

(i) provide complete and accurate information about the Services you are offering (such as description, location, and availability);

(ii) disclose any deficiencies, restrictions and requirements that apply (such as any minimum age, proficiency or fitness requirements);

You are responsible for keeping your Listing information (including availability) up-to-date at all times.

AgriAssist may, in its discretion, format, edit, or enhance Listings (including adding buyer instructions, general images, or layout adjustments) for presentation purposes on the Marketplace.
Any such formatting or embellishment does not constitute an endorsement, verification, or guarantee of the Listing’s accuracy or suitability. Service Providers remain solely responsible for the content of their Listings and for providing the Services as described, regardless of any AgriAssist formatting or presentation applied.

[7.2] The Service Provider has full control over the hours of work, days of work, type of services and rate of pay he/she advertises via their AgriAssist listing(s).

[7.3] The Service Provider’s Listing(s) is an invitation to treat, and he/she is free to accept, reject or negotiate an offer of work proposed by any member(s) on the AgriAssist platform.

[7.4] You are solely responsible for setting a price (including any Taxes if applicable) for your Listing(s). Once a Buyer requests a booking of your Listing, you may negotiate a price and terms through the comments field should you deem the job goes beyond what you have outlined in your Listing. AgriAssist does not control how or when the provider performs services. Buyers may specify desired outcomes, arrival times etc. but do not direct how the work will be done or what methods are chosen to achieve the desired outcomes.

[7.5] If you wish to include any terms in relation to your own specific cancellation policy, these must be clearly displayed on your profile and/or listing prior to a booking being made. If you do not display any such specific terms, the AgriAssist cancellation policy will apply.

[7.6] The legal relationship between AgriAssist and the Service Provider is that of a contract for services. The Service Provider is an independent, self-employed contractor. No contract of employment exists between AgriAssist and the Service Provider, nor between the Service Buyer and the Service Provider.

Service Providers acknowledge that they provide services entirely at their own risk and discretion, and retain full control over whether, when, and how to accept or perform work offered through the Marketplace. Service Providers supply relief and ancillary services to Buyers and are not integrated into the Buyer’s workforce or staffing structures.

Nothing in this Agreement or in your use of the Platform shall be construed as granting you the status of employee, worker or agent of AgriAssist or the Service Buyer. You shall not be entitled to participate in or receive any benefit under any AgriAssist employee benefit plan, policy, or program.

[7.7] You accept full responsibility for compliance with all applicable laws, including those relating to self-employment, permits, licences, visas, health and safety, tax filings, and contributions to statutory schemes. Neither AgriAssist nor the Buyer shall be held liable for any failure by you to meet these obligations.

[7.8] You understand that repeated engagements with a specific Buyer through the Platform do not create a contract of service or employer-employee relationship, regardless of the frequency or duration of such engagements.

[7.9] Both Buyers and Service Providers should be aware of the insurance guidance set out in Section 5 above.

[7.10] As per the dispute resolution clause in Section 6, disputes shall be resolved between the Members. The Platform acts only as a facilitator and does not mediate disputes.

[7.11] Once a Service Provider has carried out any work for a Buyer that has been organised through AgriAssist, there is no obligation to continue the relationship through AgriAssist. The Service Provider is free to provide services to other AgriAssist members or external clients and is not obliged to accept any engagements offered through the Marketplace, and is not bound by exclusivity to AgriAssist.

[7.12] The Service Provider at their discretion and own cost may appoint a suitably qualified substitute to perform the Services accepted through the AgriAssist platform.

[7.13] The Service Provider is solely responsible for providing self-protective clothing, certificates/professional qualifications, any trading requirements, transport, communication equipment required for work purposes. The Service Provider shall bear all risks associated with the services provided and assumes the commercial risk of profit or loss arising from each engagement, consistent with their independent contractor status.

[7.14] As outlined in Section 3 AgriAssist includes VAT @ 23% on the AgriAssist service fee. A Service Provider that is VAT Registered can claim this back as part of their Accounting processes.

[7.15] Service Providers are referred to Schedule 2 (Good Practice Guidance for Service Providers), which contains recommended practices designed to support clarity, professionalism, and the maintenance of independent contractor status when using the Marketplace.

8.      TERMS SPECIFIC FOR SERVICE BUYERS / FARMERS

[8.1] The Marketplace system requires you to click and accept the Terms, to be permitted to book a Service Listing available on the AgriAssist Platform. All applicable fees, including the Commission Fee and any applicable Taxes (collectively, “Total Fees”) will be presented to you prior to booking a Service Listing. You agree to pay the Total Fees for any booking requested in connection with your AgriAssist Account. As outlined in Section 3 AgriAssist includes VAT @ 23% on the AgriAssist service fee. A buyer that is VAT Registered can claim this back as part of their Accounting processes.

[8.2] Upon receipt of a booking confirmation from AgriAssist, a legally binding agreement is formed between you and the Service Provider, subject to any additional terms and conditions that the Service Provider may apply, including in particular the applicable cancellation policy and any rules and restrictions specified in the Listing, provided same is clearly made known at the time of the booking.

[8.3] As per the dispute resolution clause in Section 6, disputes shall be resolved between the Members. The Platform acts only as a facilitator and does not mediate disputes.

[8.4] The Service Provider, as an independent contractor, shall determine the manner, timing, and method of delivering the services, subject only to the reasonable requirements by the Buyer.

[8.5] Once a Buyer has booked a Service Provider through AgriAssist, there is no obligation to continue the relationship through AgriAssist. The Service Provider is free to accept and provide services to other members of AgriAssist, or Buyers external to AgriAssist. Service Providers are not obliged to accept any engagements offered through the Marketplace, and are not bound by exclusivity to AgriAssist.

[8.6] Both Buyers and Service Providers should be aware of the insurance guidance set out in Section 5 above.

[8.7] The Service Provider is an independent contractor and is not under the direction, control, or supervision of either the Service Buyer or AgriAssist. Farmers must not impose fixed schedules, uniform requirements, or other controls upon the Service Provider. Buyers are also responsible for ensuring compliance with relevant labour and health and safety regulations applicable to hosting a contractor on their property.

Buyers may set requirements relating to the outcomes of the services, but may not prescribe the manner, method, or means of performance. The Service Provider is solely responsible for deciding how to achieve the agreed outcomes. Service Providers supply relief and ancillary services only; they are not integrated into the Buyer’s workforce or staffing structures.

[8.8] The Service Provider at their discretion and own cost may appoint a suitably qualified substitute to perform the Services accepted through the AgriAssist platform.

[8.9] If a Buyer directs a Service Provider to the AgriAssist platform for booking convenience, the Buyer should be aware that the Service Provider’s profile and associated Listing(s) are publicly visible and constitute an invitation to treat. The Service Provider remains free to accept, reject or negotiate offers of work from any AgriAssist member or non-member.

[8.10] Buyers are referred to Schedule 1 (Good Practice Guidance for Buyers), which contains recommended practices designed to support clarity, fairness, and the maintenance of independent contractor arrangements when using the Marketplace

By registering an Account with AgriAssist you agree to be bound by these terms and conditions.

Should you have any queries please send them to info@agriassist.ie

Schedule 1 – Good Practice Guidance for Buyers (Farmers)

To promote clarity and transparency in engagements, AgriAssist strongly recommends the following practices for Buyers using the platform:

1.       Always Book Before Work Begins: Confirm and book the engagement before the Service Provider starts work. This secures the agreed rate and hours, ensures cancellation terms are clear, and places the payment into Stripe escrow in advance. Pre-booking is the standard and strongly preferred practice, as it protects both Farmer and Service Provider and avoids later disputes.

2.       Exceptional Cases – Booking After Work: Only where circumstances make pre-booking impractical should confirmation occur after completion. Even then, it must be recorded as a discrete one-off booking through the platform, never as part of any rolling arrangement.

3.       Keep Engagements Discrete: Each booking is a separate contract-for-services. Even if the same Service Provider is used regularly, each engagement should be treated as a new booking.

4.       Focus on Outcomes, Not Methods: Specify desired outcomes (e.g. “milking between 5:30–7:30am”) but avoid prescribing the exact manner or method. Service Providers retain autonomy as independent contractors.

  1. Respect Independence: Service Providers set their own rates and may work with multiple Buyers or platforms. Treat them as independent operators, not employees.

Schedule 2 – Good Practice Guidance for Service Providers (Farm Workers)

To promote clarity, professionalism, and independence in engagements, AgriAssist strongly recommends the following practices for Service Providers using the platform:

  1. Set Transparent Listings: Clearly describe the services you offer, your availability, and your rates. Keep your listing up to date.
  2. Seek Pre-Booking as Standard: Ensure Buyers confirm bookings before you start work wherever possible. Pre-booking places funds in Stripe escrow, securing your payment in advance and reducing risk of non-payment. This should be treated as the normal way of engaging work through the platform.
  3. Manage Your Business Costs: Follow the insurance guidance as per Section 5, and maintain protective equipment, transport, and any relevant certifications. These are part of running your independent business.
  4. Use Substitution Where Needed: If unable to attend, you may appoint a suitably qualified substitute at your own cost, while remaining responsible for the engagement. Ensure your substitute is appropriately skilled.
  5. Work Across Multiple Clients: You are free to accept work from multiple Buyers, through AgriAssist or other sources/platforms. This flexibility is a key feature of your independent status.
  6. Engage with Reviews: You have a right of reply to any reviews. Professional responses help preserve your reputation and independence.
